440 parts to 400 parts

will the heads and bellhousing bolt up to a 400 block from a 440?  And all the water pump housing and brackets and such?

Yes, but unless you have a forged crank 400, the flywheel is not going to be right if it's a stick. (I just read bellhousing...)
